2. Must reflect the main business activity – the name should indicate the nature of the business. For example, a technology company’s name should not suggest it is a financial institution. Generic names that do not indicate any particular business are typically rejected.

 

3. Must end with the correct legal suffix – Private Limited companies must end with ‘Private Limited’ or ‘Pvt. Ltd.’; public limited companies with ‘Limited’ or ‘Ltd.’; OPCs with ‘(OPC) Private Limited’; and LLPs with ‘LLP’ or ‘Limited Liability Partnership’.

 

4. Must not include restricted or prohibited words – words such as ‘Bank’, ‘Stock Exchange’, ‘Insurance’, ‘Mutual Fund’, ‘National’, ‘Government’, ‘President’, and similar terms require prior approval from the relevant regulatory authority before they can be used in a company name.

 

5. Must not infringe on any registered trademark – if a proposed name is identical or similar to a trademark registered under any class of the Trade Marks Registry, the MCA can reject it, or the trademark holder can challenge its use after incorporation.

Important – the RUN-LLP and SPICe+ name reservation process:

For new LLPs, name reservation is done through the RUN-LLP (Reserve Unique Name – LLP) service on the MCA portal. For new private limited companies, OPCs, and section 8 companies, name reservation is integrated into the SPICe+ form. In both cases, up to two name options can be submitted simultaneously. The Registrar has the discretion to approve, reject, or seek resubmission. A reservation, once approved, is valid for 20 days for SPICe+ and 3 months for RUN-LLP.

4. Check domain name availability – before finalising your company name, check whether the corresponding .com and .in domain names are available. Your company name and website domain should ideally match.

 

5. Think about trademark registration – once you have a name, plan to register it as a trademark. A company registration only protects the name in the MCA registry it does not give you exclusive nationwide IP rights to the brand. Trademark registration does.

 

6. Avoid names that will require regulatory approval  if your name includes words like ‘Finance’, ‘Capital’, ‘Bank’, or ‘Insurance’, you will need approvals from RBI, SEBI, IRDAI, or other bodies before the MCA can process your registration. This adds time and complexity.

What Happens After Company Name Research?

Company Name Research is the first step in the company or LLP registration process. Once the name is confirmed as available and compliant, the next steps are:

 

1. Name Reservation – xLegal files the name reservation application on the MCA portal through RUN-LLP for LLPs or integrated into the SPICe+ form for companies. We draft the object clause and business description to support the application.

 

2. Obtain Digital Signature Certificates (DSC) – all proposed directors or designated partners must obtain a Class 3 DSC before any MCA filing can proceed.

 

3. File the Incorporation Form – for companies, the SPICe+ form is filed on the MCA portal, integrating the name reservation, DIN allotment, PAN, TAN, EPFO, ESIC, and GST registration into a single filing. For LLPs, the FiLLiP form is used.

 

4. Receive the Certificate of Incorporation – once the Registrar approves the application, the Certificate of Incorporation is issued, confirming the company’s or LLP’s legal existence, registration number, and date of incorporation.

 

5. Complete post-incorporation steps – open a current bank account, apply for PAN and TAN separately (for LLPs), register for GST if applicable, and apply for MSME registration and trademark registration.

Common Mistakes in Company Name Selection
